*This written agreement is entered into pursuant to 16 TAC §25.486(g) (Customer Protections for Brokerage Services) and authorizes Watt Alpha LLC to act as the Client's agent in the Texas competitive retail electricity market.*
---
## Parties
- **Broker / Client Agent:** Watt Alpha LLC ("Watt Alpha"), a Texas limited liability company, PUCT Broker Reg. No. BR260144.
- **Client:** ________________________________ ("Client")
Company / legal name, and authorized signer: ________________________________
Service address(es) / ESI ID(s) covered: ________________________________
Watt Alpha is an independent retail-electricity **broker**. It does **not** sell or take title to electric energy, is **not** a Retail Electric Provider (REP) or a Transmission & Distribution Utility (TDU), and **is not affiliated with any REP**.
## 1. Appointment as Client Agent — §25.486(g)(1)
The Client appoints Watt Alpha as its **client agent** with the legal right and authority to act on the Client's behalf regarding the selection of and enrollment for products and services offered by REPs, subject to the limits in this Agreement. **This appointment does not include authority to execute a supply contract on the Client's behalf** — see Section 2.
## 2. Authorized actions — §25.486(g)(2)(A)
Watt Alpha is authorized to take the following actions on the Client's behalf. **Watt Alpha will not switch the Client's REP or authorize any charge without the Client's prior authorization** (§25.486(h)):
1. Obtain and review the Client's historical and current electricity **usage and account data**, including from the TDU, Smart Meter Texas, and the Client's current/prior REP(s);
2. Solicit, receive, and evaluate **offers** from REPs for the Client's load;
3. Present offers with a risk-adjusted comparison and recommendation;
4. Upon the Client's **written or documented approval of a specific offer**, **enroll** the Client with the selected REP and **facilitate the Client's own execution of the supply contract**.
**Watt Alpha does not execute supply contracts as the Client's signatory.** The Client executes its own contract with the REP. Watt Alpha's role at that step is to originate, present, and submit the enrollment on the Client's instruction.
**Actions requiring separate Client approval (not pre-authorized):** selecting the final REP and product; the contract price and term; execution of any binding supply contract; any REP switch.
## 3. Duration of the agency relationship — §25.486(g)(2)(B)
This agency relationship begins on the Effective Date below and **continues indefinitely until terminated** by either party under Section 4. There is no fixed end date and no minimum commitment period. This is the same term as the brokerage engagement described in the accompanying Broker Disclosure & Compensation Statement, so the two documents cannot expire out of step.
## 4. Termination — §25.486(g)(2)(C)
The Client or Watt Alpha may terminate this agency relationship at any time on **thirty (30) days' written notice**, by email to **cadeyounger@gmail.com** or by written notice to the mailing address above. Termination does not affect any REP supply contract already executed, which is governed by that REP's Terms of Service.
## 5. Termination fee — §25.486(g)(2)(D)
**There is no fee or other cost payable to Watt Alpha for terminating this agency agreement.** *(Any early-termination fee under a REP supply contract is separate and governed by that REP's Terms of Service / EFL.)*
## 6. Client data — use, protection, retention, disposal — §25.486(g)(2)(E) & §25.486(j)
Watt Alpha will handle the Client's customer data, including **proprietary client information** and any **account-access credentials**, as follows:
- **Use:** solely to obtain, evaluate, and administer REP offers and to perform the authorized actions in Section 2;
- **Protection / no sale or release:** Watt Alpha will **not release** proprietary client information to any person, and will **not sell or make available for sale** any client-specific information or data, **without the Client's written authorization** (§25.486(j)) — except disclosure to the PUCT, which is permitted by rule;
- **Retention:** retained for at least the **two-year** record-retention period required by §25.486(l), and producible to the PUCT within 15 calendar days on request;
- **Disposal:** securely deleted/destroyed at the conclusion of the agency relationship, except records Watt Alpha is required by law or rule to retain.
## 7. Evidence of authority — §25.486(g)(3)–(4)
Watt Alpha will provide **evidence of this agency authority** upon request of the Client, PUCT staff, or any REP with which Watt Alpha seeks to enroll the Client. Under §25.486(g)(4) and §25.474, a REP may rely on the representations of Watt Alpha as a registered client agent that provides evidence of this authority.
## 8. Compensation
Watt Alpha's compensation is described in the accompanying **Broker Disclosure & Compensation Statement** (§25.486(f)(6)): Watt Alpha is paid a **broker commission by the REP the Client selects**, included within the energy price the REP contracts with the Client; the Client pays **no separate fee** to Watt Alpha for brokerage services, and Watt Alpha adds no amount on top of a REP's price. Watt Alpha's recommendation is based on the Client's risk-adjusted total cost, not on Watt Alpha's commission. That statement is incorporated into this Agreement by reference and was provided to the Client before brokerage services began.
## 9. No unauthorized changes or charges — §25.486(h)
Watt Alpha will not (a) switch or cause to be switched the Client's REP without the Client's authorization, or (b) bill or cause to be billed any unauthorized charge to the Client's retail electric bill.
## 10. Complaints — §25.486(k)
