# Broker Disclosure & Compensation Statement **Watt Alpha LLC** 5900 Balcones Drive, STE 100 · Austin, TX 78731 Contact: Cade Younger · (360) 631-7619 · cadeyounger@gmail.com PUCT Broker Registration No.: **BR260144** *Provided pursuant to 16 Texas Administrative Code (TAC) §25.486 (Customer Protections for Brokerage Services). Delivered to the Client prior to the initiation of brokerage services, upon renewal, and upon any material change in the services or their terms.* --- ## 1. Who we are — §25.486(f)(1) Watt Alpha LLC ("Watt Alpha," "we," "us") is a retail-electricity **broker** registered with the Public Utility Commission of Texas (PUCT). We provide advice and procurement services to retail electric customers regarding the selection of a retail electric provider (REP) and REP products and services. **We do not sell or take title to electric energy, and we are not a REP or a transmission and distribution utility (TDU).** - Registered name: **Watt Alpha LLC** - Business mailing address: **5900 Balcones Drive, STE 100, Austin, TX 78731** - Contact: **Cade Younger**, (360) 631-7619, cadeyounger@gmail.com ## 2. Our PUCT broker registration number — §25.486(f)(2) **BR260144** ## 3. REP affiliations — §25.486(f)(3) **Watt Alpha LLC is not affiliated with any Retail Electric Provider.** We are independent and are not owned by, and do not own, any REP. *(If this ever changes, the affiliated REP's registered name must be listed here.)* ## 4. What we do for you — §25.486(f)(4) Watt Alpha provides the following brokerage services: - Analyzing your historical and expected electricity usage and current supply position; - Modeling and comparing REP offers and product structures (fixed, index, block-and-index, heat-rate, and similar) for your load; - Presenting a risk-adjusted comparison and recommendation across candidate offers and contract terms; - Facilitating your enrollment with the REP **you** select and supporting the contract-execution process. We present offers from **the REPs with which Watt Alpha holds a supplier or channel-partner agreement**. We do **not** survey every REP in the ERCOT market. We do not guarantee that any offer we present is the lowest price available in the market. ## 5. Term of this brokerage engagement — §25.486(f)(5) This agreement to provide brokerage services **begins on the date you accept it and continues indefinitely until terminated**. Either you or Watt Alpha may terminate it at any time on **thirty (30) days' written notice** as described in Section 7. There is no fixed end date and no minimum commitment period. ## 6. How Watt Alpha is compensated, and by whom — §25.486(f)(6) ← *the compensation disclosure* **You do not pay Watt Alpha a separate, out-of-pocket fee for our brokerage services.** Watt Alpha is compensated by the **Retail Electric Provider that you select and enroll with**, in the form of a **broker commission**. - The commission is **included within the energy price the REP contracts with you** — the rates Watt Alpha presents to you are the rates you pay, with the commission already embedded in them. Watt Alpha does **not** add any amount on top of a REP's price. - Because the commission is included in the REP's contracted energy rate, it is **paid by the REP, not billed separately to you**, and it is earned only if and when you enter into a supply contract with a REP through Watt Alpha. - Different REPs and different products may pay different commission amounts. **Our recommendation is based on your risk-adjusted total cost, not on our commission.** - You may **request the specific commission amount** applicable to any offer we present, and we will disclose it. ## 7. How to terminate this brokerage agreement — §25.486(f)(7) You may terminate this agreement to provide brokerage services at any time on **thirty (30) days' written notice**, by email to **cadeyounger@gmail.com** or by written notice to the mailing address above. Termination does not affect any REP supply contract you have already executed, which is governed by that REP's Terms of Service. ## 8. Termination fees / costs — §25.486(f)(8) **There is no fee or cost payable to Watt Alpha for terminating this brokerage agreement.** *(Any early-termination fee under the REP supply contract itself is separate and is governed by that REP's Terms of Service / Electricity Facts Label.)* ## 9. PUCT contact for complaints and inquiries — §25.486(f)(9) & (k) If we cannot resolve your concern, you may contact the PUCT: > **Public Utility Commission of Texas — Customer Protection Division** > P.O. Box 13326, Austin, TX 78711-3326 > (512) 936-7120 · toll-free (in Texas) 1-888-782-8477 · fax (512) 936-7003 > customer@puc.texas.gov · www.puc.texas.gov · Relay Texas (toll-free) 1-800-735-2989 --- ## Client-Agent Authorization (complete only if Watt Alpha will act on your behalf) — §25.486(g) If you authorize Watt Alpha to act as your **client agent**, this must be a **written** authorization, and the following additional terms apply: - **(g)(2)(A) Authorized actions:** Watt Alpha is authorized to obtain your usage and account data (including from your TDU, Smart Meter Texas, and your current or prior REP); to solicit, receive, and evaluate offers; and, upon your approval of a specific offer, to **enroll you with the REP you select**. **Watt Alpha does not execute the supply contract on your behalf** — you execute your own contract with the REP, and Watt Alpha facilitates that execution. Watt Alpha will **not** switch your REP or authorize any charge without your prior authorization (§25.486(h)). - **(g)(2)(B) Duration of the agency relationship:** the agency begins on the Effective Date and continues indefinitely until terminated by either party on thirty (30) days' written notice — the same term as the brokerage engagement in Section 5. - **(g)(2)(C) How to terminate the agency:** written notice, by email to cadeyounger@gmail.com or to the mailing address above. - **(g)(2)(D) Agency termination fee:** none. - **(g)(2)(E) Your data:** your customer data — including proprietary client information and any account-access credentials — is used **solely** to obtain and administer offers and to perform the authorized actions above; it is **not released, sold, or made available for sale** without your written authorization (§25.486(j)), except disclosure to the PUCT, which is permitted by rule; it is **retained** for at least the two-year record-retention period required by §25.486(l); and it is **securely deleted or destroyed** at the end of the agency relationship, except records Watt Alpha is required by law or rule to retain. Watt Alpha will provide **evidence of this agency authority** on request of you, PUCT staff, or a REP with whom we seek to enroll you (§25.486(g)(3)). --- ## Acknowledgment By signing below, the Client acknowledges receipt of this Broker Disclosure & Compensation Statement prior to the initiation of brokerage services.
